Atdec Minimum Advertised Price (MAP) Policy

Effective immediately, Atdec, has unilaterally established this policy setting the Minimum Advertised Price (“MAP Policy”) of selected Atdec products, which shall apply to Resellers that sell Atdec products in the United States, and all forms of reseller advertising including mailings, catalogs, displays at consumer exhibitions and shows, and any and all other forms of advertising media, including, without limitation, the Internet and any other electronic network (collectively, “Resellers”).

As one of the world’s leading IT and AV mounting solutions designers and manufacturers, Atdec recognizes that our Resellers invest time and resources to provide the level of customer service and knowledge expected from our consumers. In order to insure our products are properly promoted and supported, Atdec has adopted this MAP Policy. Atdec intends to sell these products only to Resellers that do not advertise products below the minimum advertised price (“MAP”) as set forth in this policy.

Resellers that violate this MAP Policy will be subject to loss of their eligibility to purchase products covered by the MAP Policy.

MAP Policy Guidelines

MAP pricing for all Atdec products can be found on your current price list and may be adjusted from time to time by Atdec in its sole discretion. Resellers are not required to list prices in advertising; however, if a price is listed in an advertisement it must be at or above MAP.

This MAP Policy applies to all forms of advertising in any and all media, including but not limited to: print ads (inserts, magazines, newspapers, catalogues, mail order catalogues, etc.), broadcast (radio and TV), direct mail, faxes, internet placement with third parties (banner ads, broadcast emails, destination pages, third-party sites), internet placements on Resellers own website, and any flyers, posters or coupons.

Website features such as “click for price", automated “bounce-back” pricing e-mails, preformatted e-mail responses, forms, automatic price display for any items prior to being placed in a customer’s shopping cart, and other similar features are considered to be communications initiated by the Reseller (rather than by the customer) and thereby constitute “advertising” under this MAP policy.

It shall not be a violation of this MAP policy to advertise in general that the Reseller has “the lowest prices” or “will match or beat its competitors’ price’s, or to use similar phrases; so long as the Reseller does not include any advertised price below MAP and otherwise complies with this MAP policy.

It shall not be a violation of this MAP policy to advertise that a customer may “call for price” or “email for price," or to use similar language, specifically with respect to Atdec products, so long as no price is listed.

The MAP Policy only applies to advertised prices and does not apply to the price at which the products are actually sold or offered for sale to an individual consumer. Further, this MAP Policy does not preclude Atdec Resellers from advertising the availability of nonproduct specific coupons for lower sales prices at checkout. Atdec Resellers remain free to sell the products covered by Atdec’s MAP Policy at any prices they choose.

The MAP Policy does not establish maximum advertised prices at which products may be sold. All Resellers may advertise Atdec products at any price in excess of the minimum advertised price established by Atdec for such products.

The MAP Policy does not apply to solely on premise or in-store advertising that is not distributed to customers.

From time to time, Atdec, may implement promotions for products covered by MAP Policy. Atdec reserves the right to modify or suspend the MAP Policy at any time with respect to the affected the affected products. Atdec further reserves the right to adjust the MAP Policy to all or certain products at its sole discretion and will provide advance notice to all Resellers of such changes.

Atdec has the right to issue new prices with corresponding changes to MAP. MAP pricing must be updated immediately upon receipt by the Reseller. This MAP Policy also applies to any activity which Atdec determines, in its sole discretion, is designed or intended to circumvent the intent of this MAP Policy.

Failure to Comply

In the event there is a violation of the MAP Policy, Atdec will take the following actions:

First Violation: Should a Reseller violate the MAP Policy and not correct the violation within 48 hours after being notified of the violation in writing by Atdec, the Reseller will be suspended from acquiring Atdec products for thirty (30) days

Second Violation: Should a Reseller commit a second violation, Reseller shall be suspended from acquiring Atdec for ninety days (90).

Third Violation: Should a Reseller commit a third violation, Reseller will be suspended from acquiring Atdec products for one hundred and twenty days (120) and account will be unauthorized indefinitely if they continue to violate the MAP Policy.

Atdec reserves the right, in its sole discretion, to determine all violations of its MAP Policy and further reserves the right to waive any violations of the MAP Policy in its sole discretion, provided, however, that no such waiver shall be deemed or constitute a waiver of any subsequent violation(s) and the resulting enforcement of the MAP Policy. Based on the severity of the violation, Atdec, at its sole discretion, may escalate any infraction and its associated consequences to the level of a third violation.

Atdec reviews the advertised prices of Resellers, either directly or via the use of thirdparty agencies or tools. Resellers are expected to provide reasonable cooperation in any Atdec investigations regarding possible MAP policy violations. Hindering, obstructing, delaying, or otherwise failing to cooperate with an Atdec MAP policy investigation is a violation of this MAP policy.

The MAP policy will be enforced by Atdec at its sole discretion and without notice. Dealers, distributors, and Resellers have no right to enforce the MAP policy. Violations of this policy may result in any of the aforementioned sanctions up to and including termination of our business relationship, as well as any available remedies by law.
